2. WEBSITE TERMS & CONDITIONS

2.1 Acceptance of these Terms

These Terms & Conditions (“Terms”) govern your access to and use of the Organic Reliques website, store, content, products and services.

By accessing our website, browsing our store, placing an order, requesting a quote, applying for a trade or wholesale account, or otherwise engaging with us, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use our website or purchase from us.

2.2 About Organic Reliques

Organic Reliques is an Australian artisan brand specialising in handmade ceramic tiles, textiles and bespoke décor products designed to enhance home interiors and spaces. Products may include handmade, custom, made-to-order, limited edition, trade, wholesale and project-based items.

2.3 Website content and availability

  • product development concepts, design proposals, prototypes and specifications;

  • website text, product copy, graphics, layouts and branding;

  • logos, trade marks, business names, collection names and visual identity;

  • photographs, campaign imagery, styling imagery, videos and digital content;

  • downloadable materials, catalogues, lookbooks, specifications and trade materials.

These rights may be protected under the Copyright Act 1968 (Cth), Designs Act 2003 (Cth), trade mark law, common law and other applicable laws.

Restrictions

You must not, without our prior written consent:

  • copy, reproduce, publish, distribute, adapt, upload or display our content or designs;

  • reproduce, imitate, reverse engineer or commission substantially similar tiles, textiles, artwork or products based on our work;

  • use our photography, product imagery or styling images for your own commercial use;

  • use our designs, samples, specifications or concepts to source copies or “inspired by” versions from another maker or manufacturer;

  • scrape, harvest or systematically extract content, images, pricing or product information from our website;

  • use our content, data, imagery, product copy, specifications or other materials to train, fine-tune, prompt-engineer, build or improve any AI, generative AI, machine learning model, dataset or similar system;

  • remove any copyright, watermark or proprietary notice.

The purchase of a product does not transfer any copyright, design right, trade mark or other intellectual property right to the purchaser.

2.5 Handmade and natural variation

Organic Reliques products are artisan and handmade. Variations may occur in:

  • colour;

  • glaze and finish;

  • pattern placement;

  • surface texture;

  • tile edges, dimensions and handmade tolerances;

  • textile print placement, weave or finish;

  • natural irregularities that form part of the character of handmade work.

These characteristics are part of the nature of artisan production and do not automatically constitute defects.

2.6 Quotes and orders

Quotes

Quotes remain valid for the period stated in the quote, or if no period is stated, for 14 days from the quote date unless withdrawn earlier.

Order acceptance

An order is not binding until accepted by us. We may refuse, cancel or limit an order at our discretion, including where:

  • stock or production capacity is unavailable;

  • there is a pricing, description or website error;

  • freight or supply constraints prevent fulfilment;

  • payment is incomplete or suspicious;

  • the order breaches our policies or legal obligations.

Custom / made-to-order / project orders

Custom, bespoke, made-to-order, trade and project-based orders may require:

  • written approval of specifications;

  • a deposit and/or full prepayment;

  • separate project, trade or commission terms;

  • extended production and dispatch timeframes.

Once custom production has commenced, changes and cancellations may be restricted or refused.

2.7 Pricing, GST, taxes and payment

Unless otherwise stated, prices are in Australian Dollars (AUD).

You agree to pay:

  • the product price;

  • shipping, freight, handling, insurance or export charges;

  • any taxes, duties, customs charges or import fees applicable to your order; and

  • any other agreed charges relating to custom work, samples, packaging or project requirements.

We accept payment methods made available through our store or by invoice, which may include:

  • credit card; and

  • bank transfer.

For bank transfer orders, production or dispatch may be delayed until cleared funds are received.

If a pricing or listing error occurs, we may cancel the affected order and refund any amount paid.

2.8 Shipping, title and risk

Unless otherwise agreed in writing:

  • risk in goods passes to you upon delivery to the nominated address or collection by you / your carrier;

  • title in goods remains with Organic Reliques until full payment has been received in cleared funds.

2.9 Product suitability and installation

You are responsible for ensuring products are suitable for your intended use, including tile application, sealing, installation method, substrate, wet-area suitability, heat exposure and maintenance requirements.

You should obtain professional installation advice where appropriate and inspect all tiles or products before installation.

To the maximum extent permitted by law, we are not liable for loss arising from:

  • incorrect installation;

  • failure to inspect products before installation;

  • failure to follow care, sealing or installation guidance;

  • unsuitable site conditions or substrate issues;

  • misuse, abuse, accidental damage or neglect;

  • third-party workmanship or project management failures.

2.10 Returns, refunds and consumer rights

Our Shipping, Returns & Breakage Policy sets out our change-of-mind and practical returns processes.

Nothing in these Terms excludes, restricts or modifies any rights you may have under the Australian Consumer Law (ACL) or any other law that cannot lawfully be excluded.

Where goods or services supplied by us come with consumer guarantees that cannot be excluded, you are entitled to the remedies provided by law.

2.11 Trade, wholesale and project customers

Trade, wholesale, interior design, architectural, builder and project customers may be subject to additional terms, including our Trade / Wholesale / Designer / Builder Terms.

2.12 User conduct

You must not:

  • use our website for unlawful, fraudulent or harmful purposes;

  • interfere with our website, systems or security;

  • upload malicious code or attempt unauthorised access;

  • submit false, misleading or deceptive information;

  • infringe our intellectual property rights or the rights of others;

  • scrape, mirror, copy or commercially exploit our website content or data;

  • use our website or materials for AI training, automated extraction or unauthorised commercial research.

2.13 User content and submissions

If you provide reviews, project photos, testimonials, inspiration references, comments or other content to us, you warrant that you have the right to provide it.

Unless otherwise agreed, you grant Organic Reliques a non-exclusive, royalty-free licence to use that content for customer service, project administration, marketing and promotional purposes.

2.14 Limitation of liability

To the maximum extent permitted by law:

  • we exclude all warranties, terms and conditions not required by law;

  • we are not liable for indirect, consequential, incidental, special or economic loss, including loss of profit, revenue, opportunity, goodwill or business interruption;

  • where liability cannot be excluded but can be limited, our liability is limited to the remedies permitted by law and, where applicable, to one or more of the following at our option:

    • replacement of goods;

    • repair of goods;

    • re-supply of services; or

    • refund of the amount paid for the relevant goods or services.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

2.15 Force majeure

We are not liable for delay or failure to perform due to events beyond our reasonable control, including supply chain disruption, freight delays, shortages, natural disasters, government restrictions, labour shortages, cyber incidents, pandemics or power outages.

2.16 Indemnity

You indemnify Organic Reliques against loss, damage, cost or expense arising from your breach of these Terms, misuse of our website, or infringement of our intellectual property rights.

2.17 Governing law

These Terms are governed by the laws of Western Australia and the laws of the Commonwealth of Australia. You submit to the non-exclusive jurisdiction of the courts of Western Australia and Australia.

3. SHIPPING, RETURNS & BREAKAGE POLICY

3.1 Scope

This Shipping, Returns & Breakage Policy applies to all purchases made from Organic Reliques, including retail, custom, trade, wholesale and international orders unless separate written terms apply.

3.2 Production and dispatch timeframes

Because many Organic Reliques products are handmade, custom or produced in small batches, production and dispatch times may vary.

Estimated lead times shown on the website, quote or invoice are indicative only unless expressly stated otherwise in writing.

Custom, bespoke, made-to-order, wholesale and project orders may require longer production times.

3.3 Shipping locations

We ship:

  • within Australia; and

  • internationally to selected destinations.

We reserve the right to refuse shipping to certain locations or to require a tailored freight quote for fragile, bulky, high-risk or international orders.

3.4 Freight and packaging

We take reasonable care to package products appropriately, particularly fragile ceramic products. However, freight risks increase with handmade and breakable goods.

Shipping charges may include:

  • courier or freight charges;

  • handling / packaging charges;

  • insurance where selected or included;

  • palletisation / export packaging for larger orders; and

  • international customs documentation or related handling fees where applicable.

3.5 Delivery estimates

Delivery dates are estimates only. We are not liable for delays caused by carriers, customs, weather events, port delays, labour disruptions or other factors beyond our control.

3.6 International orders – duties, taxes and customs

For international orders:

  • import duties, taxes, customs charges, brokerage fees and local charges are the customer’s responsibility unless expressly stated otherwise;

  • delivery times may be affected by customs clearance;

  • you are responsible for ensuring the goods can be lawfully imported into your destination country and for complying with local laws or restrictions.

We are not responsible for delays, seizure, additional charges or losses caused by customs or destination-country import rules.

3.7 Risk and title

Unless otherwise required by law:

  • risk in goods passes to you once the goods are delivered to the nominated delivery address or collected by you / your carrier; and

  • title in goods remains with Organic Reliques until full payment has been received in cleared funds.

3.8 Inspection on delivery

You must inspect your order as soon as reasonably possible after delivery and before installation, cutting, sealing, laundering, alteration, use or onward supply.

If there is a problem, please notify us promptly and provide:

  • your order number;

  • photographs of the product, packaging and any damage;

  • a description of the issue; and

  • any other information reasonably requested.

3.9 Breakage or transit damage claims

If your order arrives damaged, broken or materially incomplete, you must notify us as soon as possible and preferably within 48 hours of delivery for transit issues, unless a longer period is required by law or agreed in writing.

We may ask for:

  • clear photographs of the damaged goods;

  • photos of the outer packaging and internal packaging;

  • the delivery label and order details; and

  • evidence of the quantity affected.

Do not dispose of damaged goods or packaging until we have assessed the claim unless safety requires otherwise.

If we accept a transit damage claim, we may choose to:

  • replace the affected goods;

  • provide a refund or partial refund;

  • provide a store credit; or

  • make an insurance or freight claim and resolve the matter accordingly.

3.10 Variation, shade and batch differences

Because products are handmade and may be produced in batches, variation in colour, glaze, pattern, dimensions or finish may occur between:

  • product photographs and delivered goods;

  • samples and final goods;

  • different batches or production runs.

Customers should order adequate quantities, including any recommended overage, in one order where possible to reduce batch variation issues.

3.11 Change-of-mind returns

Unless required by law, we are not obliged to provide a refund or exchange for:

  • change of mind;

  • incorrect selection;

  • colour preference;

  • delay outside our control;

  • ordering the wrong quantity;

  • project changes after ordering.

If we agree to a change-of-mind return at our discretion, the return may be subject to conditions including:

  • the item being unused, uninstalled, unwashed and in saleable condition;

  • return in original packaging where reasonably possible;

  • return within a stated timeframe;

  • proof of purchase;

  • return freight at your cost;

  • restocking and handling charges.

3.12 Non-returnable items

Unless required by law, the following are generally non-returnable and non-refundable:

  • custom, bespoke or commissioned items;

  • made-to-order goods;

  • wholesale, trade or project-specific special orders;

  • cut fabric or specially sourced materials;

  • clearance, seconds or final sale items;

  • samples, unless otherwise agreed.

3.13 Australian Consumer Law

Nothing in this policy excludes, restricts or modifies rights under the Australian Consumer Law.

If a product has a major failure or otherwise does not meet a consumer guarantee under the ACL, you may be entitled to a repair, replacement, refund or other remedy under law.

4. TRADE / WHOLESALE / DESIGNER / BUILDER TERMS

4.1 Application

These terms apply to:

  • trade customers;

  • interior designers;

  • architects;

  • builders;

  • stylists;

  • developers;

  • project managers;

  • wholesale customers; and

  • any person or business purchasing, specifying or using Organic Reliques products for a commercial or project purpose.

These terms operate in addition to our Website Terms & Conditions and any quote, invoice, trade agreement or custom commission terms.

4.2 Trade and wholesale accounts

We may approve or decline trade / wholesale accounts at our discretion.

Trade and wholesale pricing, product availability, minimums, lead times and account benefits may be varied, suspended or withdrawn at any time.

4.3 Confidential pricing and commercial information

Trade pricing, wholesale pricing, account terms, project pricing, samples, product specifications and commercial information provided by Organic Reliques are confidential and must not be disclosed to unauthorised third parties.

4.4 Intellectual property ownership

All intellectual property rights in Organic Reliques products, samples, concepts, specifications, layouts, proposals and custom work remain the exclusive property of Organic Reliques.

No customer, builder, designer, wholesaler or other third party obtains any ownership of our intellectual property by purchasing, specifying, displaying or installing our products.

4.5 No copying / no circumvention / no look-alikes

Trade, wholesale and project customers must not, and must not assist any other person to:

  • copy, reproduce, trace, photograph for replication, scan or reverse engineer any Organic Reliques tile, textile, sample, design or concept;

  • provide our samples, images, layouts, specifications or concepts to another manufacturer or supplier for imitation or reproduction;

  • source “similar”, “inspired by”, “matching” or derivative versions of our designs using our products, ideas, concepts, samples or documentation as a reference;

  • bypass Organic Reliques and use our concepts to obtain competing manufacture.

4.6 Samples and swatches

Samples, swatches, prototypes and sample tiles are supplied for evaluation and selection purposes only unless otherwise agreed.

Sample items remain subject to our intellectual property rights and must not be copied or used as a manufacturing reference.

We may charge for samples and may require their return in certain circumstances.

4.7 Project and specification use

Where Organic Reliques products are specified for a project:

  • the specification of our products does not grant any licence to copy, adapt or replicate our designs;

  • custom or project-specific concepts are licensed only for the approved project unless otherwise agreed in writing;

  • repeat use across multiple sites, stages, developments or rollouts may require a separate licence or fresh written approval.

4.8 Wholesale resale restrictions

Wholesale customers may resell approved Organic Reliques products only in accordance with the approved wholesale relationship and any agreed territory, channel or branding conditions.

Wholesale customers must not:

  • remove Organic Reliques branding or origin information where supplied;

  • relabel or represent our products as their own designs;

  • use our photography or content beyond the permissions granted by us;

  • create derivative products based on our originals.

4.9 Project photography and attribution

Organic Reliques may photograph and document completed installations and projects involving our products for portfolio, editorial, website, social media and promotional use, unless otherwise agreed in writing.

Where appropriate, Organic Reliques may request design or project credits from collaborators.

4.10 Payment and account terms

Unless otherwise agreed in writing:

  • trade and wholesale orders may require deposits, pro forma payment or payment in full before dispatch;

  • overdue accounts may result in delayed production, delayed dispatch, suspension of supply or cancellation of account privileges;

  • title remains with Organic Reliques until full payment is received.

4.11 Breach

Any breach of these terms may result in:

  • suspension or termination of trade / wholesale supply;

  • withdrawal of pricing or account access;

  • refusal to quote or fulfil further orders;

  • legal action for infringement, misuse, breach of confidence or recovery of losses.

5. CUSTOM COMMISSION TERMS & CONDITIONS

5.1 Application

These terms apply to any custom, bespoke, commissioned, made-to-order or project-specific product, tile, textile, design service or creative work supplied by Organic Reliques.

5.2 Scope and briefing

A custom commission may involve concept development, samples, prototypes, colour testing, glaze development, textile design work, production planning, quoting, revisions and final manufacture.

The customer is responsible for ensuring that all dimensions, specifications, quantities, colours, finish requests and intended applications provided to us are accurate.

5.3 Quote and acceptance

A custom quote is based on the agreed scope, assumptions and information provided at the time of quoting. Variations to scope, size, finish, quantity, freight, packaging or installation requirements may change pricing and lead times.

Custom work is not booked until:

  • the quote is accepted;

  • any required deposit is paid; and

  • any requested approvals or design confirmations are completed.

5.4 Installments and payments

Unless otherwise agreed in writing:

  • a non-refundable installment is required before custom work commences;

  • milestone payments may apply for larger commissions;

  • final payment must be made before dispatch or collection or install. 

  • 50% installment on acceptance.

  • 50% balance prior to dispatch or collection or install.

5.5 Design development and revisions

Unless otherwise stated, the quoted price may include a limited number of design revisions. Additional revisions, changes to brief, or new sample rounds may incur additional charges and extend lead times.

5.6 Approval responsibility

Before production begins, you must carefully review and approve any design drawings, colour selections, sample tiles, strike-offs, specifications or mock-ups supplied for approval.

Once approval is given, you accept responsibility for the approved design direction, dimensions, finish and specifications, subject to normal handmade variation.

5.7 Handmade variation in custom work

Custom and bespoke products are handmade and may vary from sketches, screens, samples or references. Minor variation in glaze, tone, texture, dimensions, pattern placement and handmade finish is inherent to the process and does not automatically constitute a defect.

5.8 Cancellation and changes

Because custom work is project-specific and often involves design time, sample development and material allocation:

  • Payment Installments are non-refundable;

  • Changes after approval may be refused or incur additional cost;

  • Once production has commenced, cancellation may not be possible;

  • If cancellation is accepted, we may retain amounts already paid to cover design time, materials, labour, administration and loss of opportunity.

5.9 Intellectual property in custom work

All intellectual property in custom concepts, drawings, design proposals, samples, prototypes and final custom designs remains the exclusive property of Organic Reliques unless expressly transferred in writing.

Payment for a custom order does not transfer copyright, design rights or ownership of the design concept.

Unless otherwise agreed, the customer receives only a limited licence to use the finished product for the approved project or intended personal use.

5.10 Exclusivity

Custom commissions are not exclusive unless exclusivity is expressly agreed in writing and paid for.

If exclusivity is agreed, the scope of exclusivity must be clearly defined, including:

  • the relevant design;

  • the period of exclusivity;

  • the territory;

  • whether exclusivity applies to a whole design or a limited application only; and

  • any additional exclusivity fee.

5.11 Production lead times

Lead times for custom work are estimates only and may change due to design revisions, material availability, drying/firing times, freight delays, production scheduling or force majeure events.

5.12 Installation and project coordination

Unless expressly agreed, Organic Reliques does not provide installation services and is not responsible for site measurement, substrate preparation, installation, sealing, project management or builder coordination.

5.13 Limitation of liability

To the maximum extent permitted by law, Organic Reliques is not liable for:

  • incorrect dimensions or specifications supplied by the customer or their representative;

  • losses caused by project delays outside our control;

  • installation or third-party workmanship issues;

  • failure to inspect goods before installation.

Nothing in these terms excludes rights that cannot lawfully be excluded.

All content, materials, products and creative works displayed on or connected with the Organic Reliques website, store, marketing channels, social media, catalogues, proposals, samples and project documents are owned by Organic Reliques unless otherwise stated.

This includes, without limitation:

  • handmade ceramic tile designs;

  • tile layouts, profiles, motifs, textures and decorative compositions;

  • textile designs, prints, patterns and artworks;

  • bespoke concepts, drawings, prototypes and product development concepts;

  • photographs, videos, product imagery and styling imagery;

  • product descriptions, website text, graphics and visual branding;

  • collection names, business names, logos and other brand assets.

7.2 Copyright protection

These materials are protected by Australian copyright law and other applicable intellectual property laws. Copyright may subsist automatically in artistic works, photographs, written content, graphics and other original materials.

7.3 Design rights and product protection

Where applicable, Organic Reliques may seek protection for eligible products and designs under the Designs Act 2003 (Cth) and related intellectual property laws.

Organic Reliques reserves all rights to register, enforce, license or otherwise protect the overall visual appearance of its products, including relevant handmade tile and textile-based products where legally eligible.

7.4 No unauthorised use

Without prior written permission, you must not:

  • copy or reproduce our products, designs, imagery or written content;

  • use our samples or imagery to manufacture, commission or procure copies;

  • adapt, modify, translate, digitise or commercially exploit our creative work;

  • upload our imagery or design content to AI tools, generative design tools or image-generation systems for replication or derivative use;

  • remove watermarks, copyright notices or branding;

  • claim our designs, products or imagery as your own.

7.5 Purchase does not transfer IP

Purchase of a product does not transfer any copyright, design right, trade mark or other intellectual property right in the product or underlying design.

7.6 Enforcement

Organic Reliques actively reserves its rights to enforce its intellectual property through cease and desist demands, account suspension, takedown requests, damages claims, injunctions and other legal remedies available under law.
